Growens S.p.A. with reference to the voluntary partial tender offer promoted by Growens on a maximum of no. 2,647,058 own shares (the “Offer”) hereby announces, pursuant to art. 41, paragraph 2, letter d) of the Issuers’ Regulation, that no. 2,037,543 Shares were tendered to the Offer during the period between 27 November, 2023 and 1 December, 2023 (first and last days included).

The Board of Directors of Growens S.p.A. examined today certain consolidated financial data concerning the third quarter of 2023 and 9-month period ended September 30, 2023.

Growens S.p.A. announces the signing of a binding agreement (the “Agreement”) for the sale of 100% of the share capital of Dutch-incorporated subsidiary Datatrics BV (“Datatrics”) to Squeezely BV (“Squeezely” or the ”Purchaser”), a subsidiary of Spotler group, prime player in the marketing automation field in the Netherlands and UK, for a total consideration of 1.66 million Euro (the ”Transaction”).

The collaboration involves a mutual exchange: the company will support the activities of the Committee for the protection of the rights of the LGBTQIA+ community in the Cremona area, while Cremona Pride volunteers will organize initiatives to raise employee awareness on diversity & inclusion.
